Agreement to these Terms
By creating a GridCast account, signing in, installing any GridCast desktop application, adding the Griddy bot to a channel or server, or otherwise using the Service, you agree to be bound by these Terms of Service (“Terms”) and by our Privacy Policy, which is incorporated into these Terms by reference.
If you are agreeing on behalf of a league, team, organization or company, you represent that you have the authority to bind that entity, and “you” means that entity.
Who we are
GridCast is operated by VibeWright Labs LLC, a limited liability company organized under the laws of the State of Georgia, United States (“VibeWright Labs,” “we,” “us,” or “our”). “GridCast” and the “Service” mean the gridcast.gg website, our APIs, our desktop applications, our browser-source overlays, the Griddy chat bot, and all related software and services we provide.
VibeWright Labs is an independent company. GridCast is not affiliated with, endorsed by, sponsored by, or approved by iRacing.com Motorsport Simulations, LLC, nor by Twitch, YouTube, Discord or OBS. All trademarks belong to their respective owners.
Eligibility
You must be at least 13 years old to use the Service, and at least the minimum age required to consent to the processing of personal data in your country (16 in parts of the European Economic Area and the United Kingdom). If you are under 18, you may only use the Service with the involvement of a parent or legal guardian who agrees to these Terms.
You may not use the Service if you are barred from doing so under the laws of the United States or your country of residence, or if we have previously terminated your account.
What GridCast provides
GridCast is a broadcast production and community platform for sim racing. Depending on your plan and role, the Service may include:
- Broadcast overlays. Browser-source overlays for OBS and similar software, driven by live timing, scoring and telemetry, plus an overlay editor and marketplace for building and sharing themes.
- Desktop applications. The GridCast Launcher (installs and updates our software), GridCast Broadcaster (the producer control panel), and GridCast Lite (a lightweight overlay player).
- Channels, leagues and teams. Tools to run a broadcast channel, administer leagues and seasons, manage rosters, schedules, results, standings and power rankings.
- Driver profiles. Public profile pages, driver cards, and optional AI-generated driver portraits.
- Griddy. Our chat and community bot for Twitch, YouTube and Discord, including a shared virtual points economy, predictions and trivia.
- Sponsorship display. Tools for leagues and channels to manage and display sponsor artwork in overlays and on pages.
We may add, change, suspend or discontinue any part of the Service at any time. Where a change materially reduces functionality you are actively paying for, we will give you reasonable notice and the remedies described in Section 6.
Your account
5.1 Creating an account
You can create a GridCast account with a username, email address and password. Where available, you may instead sign in with your iRacing account, in which case your iRacing customer ID is linked to your GridCast account. You must give accurate information and keep it up to date. One person may not maintain multiple accounts to evade limits, bans or plan restrictions.
5.2 Account security
You are responsible for keeping your credentials confidential and for all activity under your account. Do not share your password or access tokens. Tell us at support@gridcast.gg immediately if you suspect unauthorized use. We are not liable for losses caused by someone else using your credentials, whether or not you authorized it.
5.3 Roles
Accounts carry roles — such as viewer, driver, channel owner, league owner, producer or administrator — that determine what you can access. Roles are granted at our discretion and may be changed or revoked.
5.4 Placeholder driver records
When race results are imported, GridCast may create placeholder driver records for competitors who do not yet have an account, so that results and standings are complete. These records hold only race-related information. If a placeholder record represents you, you may claim it or ask us to remove it — see the Privacy Policy. We may remove unclaimed placeholder records at any time.
Subscriptions and billing
Some features require a paid plan. Current plans, prices and what each includes are listed on our pricing page, which forms part of these Terms. We may also offer one-time purchases, optional onboarding services and add-ons.
6.1 Payment processors
Payments are handled by third-party processors, which may include Stripe and PayPal. Your use of a processor is subject to that processor's own terms and privacy policy. We never receive or store your full card number or banking credentials.
6.2 Renewal and cancellation
Subscriptions are billed in advance and renew automatically at the end of each billing period — monthly or annual, as you selected — at the then-current price, until you cancel. You may cancel at any time from your account settings or by emailing support@gridcast.gg. Cancellation stops the next renewal; you keep access until the end of the period you have already paid for.
6.3 Refunds
Except where the law of your country requires otherwise, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or periods in which you did not use the Service. If we materially reduce or discontinue a feature that was central to a plan you are paying for, you may cancel and request a pro-rata refund of the unused portion of that term.
6.4 Price changes and taxes
We may change prices. For subscriptions, changes take effect at your next renewal and we will give you at least 30 days' notice by email or in the Service; if you do not accept the new price, cancel before renewal. Prices are exclusive of taxes unless stated, and you are responsible for any sales, use, VAT or similar taxes.
6.5 Failed payments and chargebacks
If a payment fails, we may retry it and may suspend or downgrade paid features until payment succeeds. If you initiate a chargeback rather than contacting us first, we may suspend your account while the dispute is resolved. Please email us — billing problems are almost always faster to fix directly.
6.6 Free and trial access
We may offer free tiers, trials, beta access or complimentary upgrades. These may be modified or withdrawn at any time, and any usage limits attached to them apply as stated at the time of the offer.
Your content
7.1 You own your content
You keep ownership of everything you upload or create on GridCast — photos, biographies, logos, banners, overlay themes, league and team information, sponsor artwork and chat messages (“Your Content”).
7.2 The licence you grant us
You grant VibeWright Labs a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for formatting and display), publish, publicly perform and distribute Your Content for the purpose of operating, providing and improving the Service — for example, rendering your logo in an overlay, showing your profile photo on a driver card, or displaying your league's standings.
Separately, we would like to be able to show GridCast at its best. You grant us a licence to use Your Content in marketing and promotional material — screenshots, trailers, social posts and the like. You may withdraw this promotional licence at any time by emailing support@gridcast.gg; we will stop using Your Content in new material, though we are not required to recall material already published.
7.3 Your promises about content
You represent that you own Your Content or have all rights necessary to grant the licences above, and that Your Content does not infringe anyone's rights. This matters especially for sponsor logos, team liveries and broadcast footage, which frequently belong to someone else.
7.4 Removal
We may remove or restrict any content that we reasonably believe breaches these Terms, infringes a third party's rights, or exposes us or our users to liability. Where practical we will tell you why.
Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or in breach of iRacing's, Twitch's, YouTube's, Discord's or any other platform's terms.
- Upload content that is unlawful, defamatory, harassing, hateful, sexually explicit, or that targets any person or group for abuse.
- Impersonate another person, driver, league or organization, or misrepresent your affiliation with one.
- Upload malware, or attempt to gain unauthorized access to any account, server, database or part of the Service.
- Probe, scan, overload or disrupt the Service or its infrastructure, including the broadcast relay.
- Scrape or bulk-extract data from the Service by automated means without our written permission, or use it to build a competing product.
- Reverse engineer, decompile or disassemble any part of the Service, except to the extent that restriction is unenforceable under applicable law.
- Manipulate, exploit, automate or otherwise game the Points, prediction or trivia systems, or operate multiple accounts to do so.
- Resell, sublicense or redistribute access to the Service, or share a single paid seat across multiple organizations.
- Remove, obscure or alter GridCast branding or attribution where these Terms require it to be shown.
Desktop software
We grant you a personal, revocable, non-exclusive, non-transferable licence to install and use our desktop applications for as long as your account is in good standing and, where the software requires a paid plan, for as long as that plan is active. You may not distribute, sell or modify them.
Our desktop software reads live session and telemetry data from your local sim (for example through the iRacing SDK) and sends it to GridCast so your overlays can display it. It may also connect to software you configure, such as OBS or Meld. It checks for and installs updates automatically, which may include changes required for continued compatibility.
The software runs on your own computer. You are responsible for your hardware, your internet connection and your broadcast setup, and for keeping your own backups of local configuration.
Connected accounts
The Service connects to third-party platforms at your direction — iRacing, Twitch, YouTube, Discord, OBS and payment processors among them. When you connect an account or add Griddy to a channel or server:
- You authorize us to access and use that platform's data as needed to provide the features you asked for, within the permissions you granted.
- You must have the right to connect that account or server — for a Discord server, that means being an administrator of it.
- You remain bound by that platform's own terms, and we are not responsible for their services, outages, policy changes or content.
You can disconnect an account at any time from the relevant settings page, or by removing Griddy from your channel or server. Third-party APIs change outside our control, and features that depend on them may stop working without notice.
Points and predictions
GridCast Points are a free, virtual scorekeeping device for entertainment only. They are not money and have no monetary value. You never buy Points, no real money is ever staked, and Points cannot be exchanged for cash, cryptocurrency, gift cards, prizes or anything else of value. Nothing in the Points, prediction or trivia features is gambling, and nothing of value is ever won or lost.
You have no ownership interest in Points. We may grant, adjust, replenish, expire, reset or remove Points balances at any time, including to correct errors or abuse. Points are tied to a specific platform identity — a Twitch, YouTube or Discord account — and are not transferable between platforms or between users except through features we expressly provide. Points do not survive account termination and are not refundable or redeemable under any circumstances.
If a league or channel chooses to offer real prizes in connection with these features, that promotion is entirely theirs. They are responsible for it and for complying with all applicable sweepstakes, contest and gambling laws. We are not a party to it.
Broadcasts and overlays
12.1 Broadcast rights are yours to hold
GridCast gives you production tools. It does not grant you the right to broadcast any race, series, footage, music or other content. You represent that you hold every permission your broadcast requires.
12.2 Overlay links
Overlay URLs contain an access key that lets anyone holding the link view your live broadcast data. Treat overlay links as secrets — do not publish them or paste them into public chats. You are responsible for links you share and can regenerate them if one leaks.
12.3 Branding
Overlays and pages may include GridCast branding and attribution. Unless your plan expressly permits removal, or we agree in writing, you agree not to remove, obscure or alter it.
12.4 Recording and promotion
We may capture screenshots or short clips of broadcasts produced with GridCast to promote the Service. If you would rather we did not, email support@gridcast.gg and we will honour that for your channel going forward. We do not claim ownership of your broadcast or your VODs.
Sponsorship and advertising
Leagues and channels can upload and display sponsor artwork through the Service. If you upload sponsor material, you confirm you are authorized to display it and that doing so complies with your agreement with that sponsor and with all advertising and disclosure laws that apply to you.
We may display GridCast's own promotional content within the Service. We do not sell advertising space inside your broadcast overlays to third parties without your agreement.
Intellectual property
The Service — its software, source code, design, interface, database structure, documentation and artwork — is owned by VibeWright Labs LLC and protected by copyright, trademark and other laws. Except for the rights these Terms expressly grant you, we reserve all rights.
“GridCast,” “Griddy,” “Grid Vision” and our logos are trademarks of VibeWright Labs LLC. Do not use them without our prior written permission, except to refer factually to the Service.
If you send us feedback, suggestions or feature ideas, we may use them freely, without obligation, attribution or compensation to you.
Copyright complaints
We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. Send notices to support@gridcast.gg with the subject line “DMCA Notice”, including:
- Your physical or electronic signature.
- Identification of the copyrighted work you claim has been infringed.
- Identification of the material on GridCast you want removed, with enough detail for us to find it (a URL is best).
- Your name, address, telephone number and email address.
- A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner's behalf.
If your material was removed and you believe that was a mistake, you may send a counter-notice to the same address. We terminate the accounts of repeat infringers in appropriate circumstances.
Privacy
Our Privacy Policy explains what personal data we collect, why, who we share it with, how long we keep it and what rights you have over it. Please read it — it is part of this agreement.
Early access and availability
GridCast is under active development, and parts of it are offered as beta or early access. Those parts may be incomplete, may change substantially, and may be withdrawn. Do not rely on a beta feature for a broadcast you cannot afford to lose.
We do not promise any particular uptime and do not offer a service-level agreement. Live broadcasting depends on your hardware, your internet connection, the sim, and third-party platforms — none of which we control.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DATA WILL BE ACCURATE OR PRESERVED WITHOUT LOSS, OR THAT DEFECTS WILL BE CORRECTED. TIMING, SCORING AND TELEMETRY DATA IS PROVIDED FOR PRODUCTION PURPOSES ONLY AND IS NOT OFFICIAL; DO NOT RELY ON IT TO DETERMINE OFFICIAL RACE RESULTS.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you. Nothing in these Terms limits rights you have as a consumer that cannot be limited by law.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBEWRIGHT LABS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, VIEWERSHIP, SPONSORSHIP, DATA OR BROADCAST OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
These limits apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you.
Indemnification
You agree to indemnify, defend and hold harmless VibeWright Labs LLC and its members, officers, employees, contractors and agents from any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) Your Content, including sponsor artwork and broadcast material; (c) your breach of these Terms or of any law; or (d) your infringement of anyone else's rights. We may assume the exclusive defence of any such matter at your expense, and you agree to cooperate with us.
Suspension and termination
21.1 By you
You may stop using the Service at any time, cancel a subscription as described in Section 6.2, and request deletion of your account by emailing support@gridcast.gg.
21.2 By us
We may suspend or terminate your access, with or without notice, if you breach these Terms, if we are required to by law, if your account is used in a way that risks harm to other users or to the Service, or if you fail to pay. Where the breach is minor and fixable, we will normally contact you first.
21.3 What happens next
On termination your licence to use the Service ends immediately, Points are forfeited, and we may delete Your Content after a reasonable period. If we terminate a paid account without cause, we will refund the unused portion of your current term. Sections 7.2, 11, 14, 18, 19, 20, 23 and 24 survive termination.
Changes to these Terms
We may update these Terms. When we make material changes we will update the “Last updated” date above and give notice in the Service or by email at least 30 days before they take effect, unless a change is required sooner by law or to address a security issue. Continuing to use the Service after changes take effect means you accept them. If you do not accept them, stop using the Service and cancel any subscription.
Governing law and disputes
23.1 Governing law
These Terms and any dispute arising out of them or the Service are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-law rules, and by applicable United States federal law.
23.2 Talk to us first
Before filing anything, email support@gridcast.gg with a description of the dispute. We will try in good faith to resolve it informally within 30 days. Most problems end here.
23.3 Venue
If informal resolution fails, you and VibeWright Labs agree that any dispute will be brought exclusively in the state or federal courts located in the State of Georgia, and both parties consent to personal jurisdiction and venue there. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property. Claims within the scope of a small-claims court may be brought there.
23.4 No class actions
To the extent permitted by law, disputes must be brought individually. You and we each waive the right to bring or participate in a class, collective or representative action.
If you live in the European Economic Area or the United Kingdom, nothing here deprives you of the protection of mandatory consumer laws of your country of residence, or of your right to bring proceedings in your local courts.
General provisions
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service, and replace any earlier version of the GridCast Terms of Service.
- Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary and the rest stays in force.
- No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
- No third-party beneficiaries. These Terms do not create rights for anyone other than you and us.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Notices. We may send notices to your account email or post them in the Service. Send notices to us at support@gridcast.gg.
